Terms of use
Last updated June 15, 2026.
These Terms of Use ("Terms") are a legal agreement between True Grant Solutions[, Inc.] ("TGS," "we") and the organization that registers for or uses the TGS platform ("Customer," "you"), and apply to all authorized users. By accessing or using the Service, you agree to these Terms, the Acceptable Use Policy ("AUP"), and the Privacy Policy. If you are accepting on behalf of an organization, you represent that you are authorized to bind it.
1. The Service
TGS is a software platform that helps nonprofit organizations prepare and manage grant applications, including AI-assisted drafting, review, research, and document/workflow management. We may update, improve, or modify the Service over time.
2. Accounts and eligibility
You must provide accurate registration information, keep credentials secure, enable available security features (including multi-factor authentication where offered), and are responsible for activity under your accounts. The Service is for organizational/business use by adults; it is not directed to children.
3. Customer Data: ownership and our use
3.1 Your ownership. As between the parties, Customer retains all right, title, and interest in the content, data, and materials Customer or its users submit ("Customer Data"). TGS acquires no ownership of Customer Data.
3.2 Limited license to operate. You grant TGS a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, support, and improve the Service for you, and to create aggregate, de-identified metrics that do not identify Customer or any individual.
3.3 No AI training on Customer Data. TGS will not use Customer Data to train, fine-tune, or otherwise improve any general-purpose machine-learning model, including models operated by TGS, AWS, Anthropic, or any other provider. Customer Data is submitted to AI providers under terms that prohibit such use. [Confirm against providers' current terms.]
3.4 Confidentiality & security. TGS treats Customer Data as Customer's Confidential Information and applies commercially reasonable safeguards, including encryption at rest (AWS KMS), encryption in transit (TLS), per-organization tenant isolation, access controls, and audit logging. Additional detail is in the Privacy Policy and DPA.
3.5 Data location. Customer Data is stored and processed in the United States (AWS us-east-1). TGS will provide at least [60] days' notice and a penalty-free termination right before any change that would move Customer Data outside the US.
4. Acceptable use
You agree to use the Service in compliance with the AUP, incorporated by reference. In particular, you agree not to submit prohibited data (including Protected Health Information, 42 CFR Part 2 substance-use records, FERPA education records, payment card data, individual Social Security numbers, biometric or genetic identifiers, or classified/CUI government records), and not to attempt to access other organizations' data, reverse-engineer the Service or its models, or use it to build a competing product. We may suspend or terminate for material violations.
5. AI-generated content
5.1 Nature. The Service uses third-party large-language-model providers to generate suggested text, summaries, structured data, and research based on your inputs. AI output may contain errors, omissions, or fabricated information ("hallucinations").
5.2 Safeguards, not guarantees. TGS adds safeguards, instructing the AI not to invent statistics, sourcing factual figures from deterministic lookups of public data shown with citations, flagging unverified-looking figures, and a pre-flight detector for sensitive data, but these are best-effort and do not guarantee accuracy or completeness.
5.3 Human review required. You are solely responsible for reviewing AI-generated content for accuracy, completeness, legality, and appropriateness before relying on it or submitting it to any funder, regulator, or third party. AI output is informational and is not legal, medical, financial, or professional advice.
5.4 Optional web search. If a user enables the optional "Search the web" feature (off by default), research queries are sent to our search provider and limited public web pages are retrieved; results are subject to the same human-review responsibility.
6. Health-data disclaimer (read this)
TGS IS NOT A HIPAA-COMPLIANT SERVICE AND DOES NOT OFFER A BUSINESS ASSOCIATE AGREEMENT ON ANY PLAN. TGS is a grant management platform, not a clinical or medical system. Do not submit Protected Health Information or other regulated health data.
7. Third-party services
The Service relies on third-party providers (including AWS, Anthropic via AWS Bedrock, Stripe, and, for optional web search, [Tavily]), and queries public government data sources. Your use may be subject to those providers' terms. TGS is not responsible for third-party services outside its control. A current sub-processor list is available at [trust.truegrantsolutions.com/subprocessors].
8. Fees and billing
Fees, billing intervals, and plan terms are as presented at sign-up or in an order form. Payments are processed by Stripe; TGS does not store card data. [Insert renewal, taxes, late-payment, and refund terms.]
9. Intellectual property
TGS and its licensors own the Service, including its software, models, prompts, and trademarks. Subject to these Terms, TGS grants Customer a limited, non-exclusive, non-transferable right to use the Service during the term. No rights are granted except as expressly stated.
10. Term, suspension, and termination
These Terms apply while you use the Service. Either party may terminate as set out in the order form or for material breach [insert cure period]. We may suspend access for security risks, non-payment, or AUP violations. On termination, we will return or delete Customer Data per the Privacy Policy/DPA (default [30-day] purge from primary systems; [90-day] from backups).
11. Warranties and disclaimers
[Counsel to finalize.] Except as expressly stated, the Service is provided "as is" and "as available," and TGS disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. TGS does not warrant that the Service or AI output will be uninterrupted, error-free, or accurate.
12. Limitation of liability
[Counsel to finalize, insert cap (e.g., fees paid in the prior 12 months) and exclusion of indirect/consequential damages, with any carve-outs.]
13. Indemnification
[Counsel to finalize, Customer indemnity for Customer Data and AUP violations; mutual IP indemnity as appropriate.]
14. Security incidents
If TGS confirms a security incident affecting Customer Data, TGS will notify Customer's designated administrators without undue delay and within [72] hours, with available detail and remediation steps.
15. Data Processing Addendum
For Customers subject to applicable data-protection laws, the TGS Data Processing Addendum applies and is incorporated by reference [upon execution].
16. Changes to these Terms
We may update these Terms; for material changes we will give customer administrators at least [30] days' notice via email and in-product notice. Continued use after the effective date constitutes acceptance.
17. Governing law and disputes
[Counsel: governing law, venue, arbitration/class-waiver as desired.]
18. Miscellaneous
Entire agreement; severability; no waiver; assignment; force majeure; notices. [Counsel to finalize.]
